Job Purpose: 

We are a fast-growing international tour operator with a strong presence in the U.S. and overseas markets. As our business expands, we are seeking a highly capable Legal Counsel / Administrative Manager to partner directly with our CFO. This part-time role combines legal expertise with strategic administrative management, ensuring efficient handling of contracts, corporate compliance, and cross-border organizational matters.

This is a key role in our growing organization, ideal for a legally trained professional who enjoys combining legal counsel with hands-on management of corporate processes and administration.
 

Key Responsibilities:

 

  • Legal & Contract Management
    • Draft, review, and negotiate supplier, service, partnership, and distribution contracts.
    • Develop and maintain a contract management system, tracking obligations, expirations, and compliance requirements.
    • Provide practical, business-oriented legal guidance to leadership on U.S. and international matters.
    • Manage relationships with external counsel for complex or jurisdiction-specific legal issues.
    • Ensure company policies and templates remain current with legal and regulatory standards.
  • Corporate Governance & Compliance
    • Oversee corporate records and governance documentation (board minutes, resolutions, annual filings, licenses).
    • Coordinate compliance requirements across multiple jurisdictions (U.S. and international entities).
    • Manage company registrations, subsidiary oversight, and renewals.
    • Liaise with regulators, corporate agents, and advisors to ensure compliance with local laws.
  • Administrative & Managerial Support to CFO
    • Act as a trusted partner to the CFO, ensuring smooth execution of corporate priorities.
    • Manage cross-border corporate administration, coordinating with finance, HR, and operations teams.
    • Organize and streamline workflows related to legal and corporate administration.
    • Anticipate administrative needs and implement efficient processes to support growth.

Qualifications

  • Education: JD, LL.M., or equivalent legal qualification preferred; active license to practice law in the U.S. a strong plus.
  • 5+ years in corporate/commercial law (in-house or law firm).
  • Experience managing corporate governance, compliance, or legal administration for international entities.
  • Proven track record in contract management and organizational administration.

  • Excellent drafting, negotiation, and communication abilities.
  • Business-oriented mindset with the ability to balance legal rigor and commercial practicality.
  • Proficiency in MS Office and ideally contract/corporate management systems.
