Summary:

The Senior Counsel – Securities & Corporate Governance will provide comprehensive legal support to the manufacturing company, ensuring compliance with all relevant laws and regulations. The role would report directly to Chief Legal Officer, and responsibilities will cover the entire spectrum of corporate and securities matters that confront a public U.S. company, including preparing and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K and proxy statements, section 16 filings, filings with the NASDAQ, assisting with matters related to the board of directors and advising on corporate governance, investor relations, tax and treasury-related matters.

 

Responsibilities:

  • Assist with the company’s NASDAQ submissions and SEC filings, including 10-Ks, 10-Qs, risk factors, 8-Ks, and proxy statements
  • Help prepare for the company’s annual meeting materials in collaboration with partners, including finance and investor relations functions
  • Support the preparation of board and committee meeting materials and minutes and provide general board and committee support
  • Lead global corporate administrative efforts, including overseeing maintenance of our domestic and international subsidiaries, supporting internal entity expansion, and advising on entity structuring and related matters
  • Provide legal advice and support in connection with stock plans, executive compensation, insider trading policies and Rule 10b5-1 plans
  • Manage Section 16 reporting, including Forms 3, 4, and 5, ensuring compliance with reporting requirements
  • Partner with teams, including finance, controller, treasury, corporate communications and other legal professionals, on multiple projects

 

 

Qualifications

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Experience: Minimum of 4-6 years of legal experience, preferably in law firm or a manufacturing or industrial setting.
  • Licensure: Active bar membership in good standing.
  • Skills: Strong analytical, negotiation, and communication skills. Ability to manage multiple tasks and projects simultaneously.
  • Knowledge: Broad understanding of corporate, commercial, employment, and regulatory law. Familiarity with industry-specific regulations is a plus.
  • Attributes: Detail-oriented, proactive, and able to work independently and as part of a team.
