DESCRIPTION:

PURPOSE OF JOB:

This supervisory position is responsible for originating, structuring, growing, managing and leading United’s Syndication Department with a focus on buy and sell side distribution of loan and lease syndications to various sources, including other independent lessors, banks, insurance companies, and others who navigate in the capital markets of finance.  Directly supervises one support staff team member.

 

JOB DUTIES:

 

Syndication Buy Desk

  • Drive all syndication transactions including portfolios and one-off applications from approved sources.
  • Achieve Buy Desk annual goals as defined with the EVP-CFO.
  • Work with sources to complete underwriting packages or covenant requirements.
  • Prepare and update Policies and Procedures and Desk Procedures for Buy Desk functions.
  • Prepare transaction write-ups for presentation to the Credit Committee for consideration of approval and other documentation as required, including but not limited to:
  • Preparation of commitment letters.
  • Preparation and/or review of specifications and pricing for approval with EVP-CFO.
  • Work with the Compliance Department to ensure all documentation is compliant with internal policies and requirements.
  • Assist in completion of Master Agreements, Referral Agreements, or other required legal documentation.

 

Syndication Sell Desk

  • Drive all sell side syndication transactions with sources as defined in the annual business plan.
  • Prepare and update Policies and Procedures and Desk Procedures for Sell Desk functions.
  • Oversee each sell side Offering Memorandum being presented for sale.
  • Negotiate the best terms for selling transactions from our portfolio.
  • Work collaboratively with the EVP-CFO and the VP of Finance to identify transactions desired to sell from our portfolio.

 

Syndication Servicing

  • Ensure non-disclosure agreements (NDAs) are executed by and between United Leasing, Inc. and all sources.
  • Meet regularly as defined in your business plan with key relationships to monitor relationship growth.
  • Oversee with legal assistance the execution of relationship documents with all sources, including but not limited to:
  • Master Discounting Agreements
  • Reviewing of sources documentation package to obtain approval from EVP-CFO or CEO.

 

Syndication Reporting

  • Maintain pipeline reporting for each source and combine to show all activity within the department.
  • Fully utilize Salesforce and Aspire software to reflect the syndication flow of deals.
  • Present business plan performance at each Quarterly Review to the President, EVP-CFO, and CEO to include the outlining of areas of non-performance and employees who are under plan achievement.
  • As required, work with Marketing to manage deal marketing materials or other items required to penetrate and grow our source networks.
  • Track market trends, pricing dynamics, and competitive behaviors, and share with the EVP-CFO to assist in syndication pricing and structuring.

 

Management & People Development

  • Effectively build, manage, and develop talent to support a performance culture within the department.
  • Closely manage employees, utilizing 1-on-1 meetings and Subject & Action (S&A) accountability standards.
  • Conduct timely performance appraisals for employees.  Ensure timely submission and monitoring of annual business plan goals for yourself and your direct reports.
  • Ensure team members achieve minimum annual training requirements, as appropriate.

 

General

  • Ensure prompt and regular attendance.
  • Perform other appropriate duties as may be assigned by Management.
  • Travel as business needs may require.

QUALIFICATIONS:

Education:

  • Bachelor’s degree in Finance, Economics, or a related field is minimally required.
  • MBA or CFA is preferred.

 

Experience:

  • 7+ years of experience in loan syndications, capital markets, structured finance, or leveraged finance, preferably within a non-bank lender or middle-market finance environment.
  • Proven track record of executing syndicated transactions and raising capital from institutional investors.
