We are seeking a skilled, detailed-oriented and hands-on Deputy Counsel to join our legal team. The selected Deputy Counsel has exceptional experience in litigation, contract review, and regulatory compliance. The ideal candidate has previous experience working within an accounting or professional services firm and has a solid understanding of accounting regulations and practices, employment law, subpoenas, and M&A transaction related work.

As Deputy Counsel, your key responsibilities will include:

  • Review, draft, and negotiate a wide range of legal documents, including client engagement letters, NDAs, service agreements, and vendor contracts.

  • Advise on litigation risk, manage and coordinate with outside counsel, and oversee responses to subpoenas and other legal inquiries.

  • Assist with regulatory and professional liability matters, ensuring compliance with industry standards and internal policies.

  • Conduct legal due diligence on potential merger and acquisition targets. Work with the internal Corporate Development team to draft, review and negotiate complex legal documents.

  • Providing strategic legal advice during M&A transaction processes, ensuring compliance with securities regulations and corporate governance standards.

  • Assessing and mitigating potential risk management and legal matters.

  • Work collaboratively with internal teams (HR, compliance, risk, audit) to mitigate legal exposure and ensure consistency in legal documentation.

  • Conduct complex legal research.

  • Conduct electronic discovery and support document retention processes.

  • Provide legal guidance on issues related to employment law, including employee relations, terminations, and compliance with federal and state regulations.

  • Provide legal input on firm policies and procedures, including ethics and governance.

Qualifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Active bar membership and in good standing with at least one U.S. jurisdiction.
  • Minimum of 7 years of legal experience, including litigation and contract work.
  • Prior experience working within an accounting firm or similar professional services environment is required.
  • Familiarity with accounting firm operations, including engagement letters, risk management, and professional standards.
  • Working knowledge of employment law and HR-related legal issues.
  • Strong analytical, communication, and interpersonal skills.
  • Ability to manage multiple tasks and projects independently and efficiently.
  • Experience handling professional liability or malpractice claims preferred. 
  • Understanding of privacy rules and regulations preferred. 
  • Experience with M&A transactions preferred. 
  • Exposure to SEC, PCAOB, or state board-related compliance matters preferred.
