We're looking to hire a Tax Managing Director to join the Merger & Acquisition Services team. The selected candidate will work with a team of professionals to deliver strategic tax advisory services to clients involved in various types of transactions. This person is held accountable for organic growth within the M&A Tax Practice, collaborating across service lines to drive integrated solutions, as well as generating business from new clients. This position has the option to be fully remote or sit in any of our U.S. locations. 

This role combines depth, business acumen and leadership, overseeing deal structuring, due diligence, and post-transaction planning for private equity, high-net-worth, and corporate clients.

Responsibilities include:

  • Lead and oversee M&A tax engagements, including but not limited to buy-side and sell-side due diligence, structuring, and post-acquisition integration.
  • Advise on transaction structures to optimize tax outcomes for corporate, individual, and partnership stakeholders.
  • Provide expert guidance on federal income tax implications of mergers, acquisitions, dispositions, reorganizations, recapitalizations, and restructurings.
  • Lead tax due diligence, while identifying opportunities and risks.
  • Partner with clients and their finance, legal, and private equity teams to drive deal execution.
  • Analyze and review asset purchase agreements, stock purchase agreements, and related transaction documents.
  • Manage and mentor a team of tax professionals, while fostering career development and technical excellence.
  • Collaborate with firm leaders to develop and expand the M&A tax practice, including but not limited to business development, marketing, and thought leadership initiatives.
  • Participate in Partner-level meetings, while contributing to strategic initiatives aimed at client service excellence, growth, and talent development.
  • Serve as a firm-wide resource on complex tax matters, including but not limited to Sections 1202, 338(h)(10), 754/743(b), 351, 382, and 355 analyses.

Qualifications

The ideal candidate must have the following:

  • Bachelor’s degree in Accounting, Finance, or related field (JD, LLM) (Master’s degree in Taxation strongly preferred).
  • CPA or admission to a state BAR (required).
  • Minimum of 10 years of experience in progressive tax, with significant exposure to M&A transactions.
  • Have deep technical knowledge of federal income tax for corporations and partnerships, including but not limited to transactional tax structuring.
  • Have proven experience advising corporate acquirers, private equity firms, and/or portfolio companies.
  • Have strong leadership and team management skills, with a track record of developing and mentoring talent.
  • Have exceptional communication skills, including but not limited to the ability to explain complex tax issues to non-tax audiences.
  • Can thrive in a dynamic, fast-paced environment with multiple deadlines and priorities.
  • Have demonstrated success in business development, client relationship management, and cross-functional collaboration.
