We are seeking a Tax Director - Merger & Acquisition Services to join our Merger & Acquisition Services (M&A) National team. This position has the option to be fully remote or sit in any of our U.S. locations.

Responsibilities are, but not limited to:

  • Interpret and apply U.S. federal income tax law as it relates to M&A transactions.
  • Partner with and assist other senior members of the M&A practice with various technical tax issues, including but not limited to dealing with consolidated returns, partnerships, S-Corporations, LLCs, and LLPs.
  • Conduct tax research on various technical transaction tax issues.
  • Write technical memoranda as well as advise clients on various technical tax issues.
  • Identify tax risks of target companies during a tax due diligence process, as well as communicate findings with clients and other advisors.
  • Review excel-based transaction tax models to quantify attribute availability, basis step-up, and/or structural impact on client and target tax profiles.
  • Manage resource requirements, including but not limited to project workflow, budgets, collections, and billing.
  • Provide transaction-structuring advice regarding sell-side and buy-side transactions for various entity types.
  • Develop, motivate, and train staff and manager-level team members.

Qualifications

  • 8+ years of federal tax and/or mergers and acquisitions experience
  • Bachelor’s degree in accounting (Master’s degree in taxation, JD, and/or LLM preferred)
  • CPA license (preferred)
  • Possess knowledge of US federal tax laws, including but not limited to corporate, individual, gifts, trusts, and partnership taxation
  • Be highly motivated
  • Possess excellent written and verbal communication skills
  • Be proficient in Microsoft Office, particularly Excel
  • Have outstanding analytical, organizational and project management skills
  • Work cooperatively in teams
